EARLY WARNING NEWS RELEASE PURSUANT TO SECTION 102.1 OF THE SECURITIES ACT (ONTARIO) AND NATIONAL INSTRUMENT 62-103
TORONTO, May 20, 2015 /CNW/ – Further to the disclosure requirements of applicable securities laws, Paul Dalla Lana announces that, pursuant to the previously-announced plan of arrangement under the Business Corporations Act (Alberta) (the “Arrangement“) involving, inter alia, NorthWest Healthcare Properties Real Estate Investment Trust (the “REIT“) and NorthWest International Healthcare Properties Real Estate Investment Trust (“NWI“), he has acquired, indirectly through controlled affiliates, beneficial ownership of 4,998,399 trust units (“Trust Units“) and 19,188,063 special voting units (“Special Voting Units” and, together with the Trust Units, the “Voting Units“) of the REIT. Paul Dalla Lana’s obligation to file this news release results from his indirect acquisition of 10% or more of the REIT’s issued and outstanding Special Voting Units.
After giving effect to the acquisition of Voting Units described above, Paul Dalla Lana has indirect beneficial ownership and control over 4,998,399 Trust Units, representing approximately 9.47% of the issued and outstanding Trust Units of the REIT, and 19,188,063 Special Voting Units, representing 100% of the issued and outstanding Special Voting Units of the REIT. Paul Dalla Lana’s indirect beneficial ownership and control over 24,190,850 Voting Units represents approximately 33.60% of the REIT’s issued and outstanding Voting Units.
The issuance of Voting Units was effected as part of the Arrangement, pursuant to which unitholders of NWI, including an entity wholly-owned by Paul Dalla Lana, received 0.208 of a Voting Unit for each voting unit of NWI held. Neither Paul Dalla Lana, nor any of his affiliates, has any present intention of acquiring any additional Trust Units, Special Voting Units or securities convertible or exchangeable into Trust Units. However, Paul Dalla Lana and his affiliates reserve the right, depending on the circumstances (including market conditions) to make further purchases, or disposals, of Trust Units, Special Voting Units or securities convertible or exchangeable into Trust Units in the future.
