TORONTO, April 5, 2018 /CNW/ – Akumin Inc. (TSX:AKU.U) (the “Company” or “Akumin“) announced today that it has entered into a management agreement with the owners of four centers located in one of Akumin’s core geographic markets (the “Potential Acquisition“). Under the management agreement, Akumin has the right to immediately assume managerial and operational control of the Potential Acquisition.
The current annual run rate of the Potential Acquisition’s revenues is approximately US$12 million. Although the parties have yet to settle a definitive acquisition agreement, Akumin has secured exclusive negotiating rights and has agreed to provide a working capital loan secured by a security interest over all the assets of the Potential Acquisition. It is expected that upon closing of the Potential Acquisition, Akumin would assume a subordinated secured note of the sellers and no additional financing would be required to complete the Potential Acquisition.
