TORONTO, May 23, 2019 /CNW/ – European Residential Real Estate Investment Trust (TSXV: ERE.UN) (“ERES” or the “REIT“) is pleased to announce that all resolutions were passed at its annual and special meeting of holders (the “Unitholders“) of units and special voting units of the REIT (together, “Units“) that was held today in Toronto, Ontario, Canada.
In addition to the election of each of the nominee trustees, the re-appointment of PricewaterhouseCoopers LLP as auditors of the REIT and the re-adoption of the REIT’s amended and restated unit option plan by a majority of the Unitholders at the meeting, a majority of the disinterested Unitholders authorized the issuance of up to 88,381,759 units of the REIT or class B limited partnership units of ERES Limited Partnership to CAPREIT Limited Partnership or a subsidiary thereof (together, “CAPREIT“) as a portion of the consideration for the potential indirect acquisitions of two portfolios consisting of an aggregate of 47 properties in the Netherlands from CAPREIT, pursuant to the pipeline agreement between the REIT and CAPREIT dated March 29, 2019 (the “Unit Issuance“), as further described in the management information circular of the REIT dated April 23, 2019 (the “Circular“).
Election of Trustees
According to proxies received and a vote by show of hands, the six nominees set forth in Circular were elected as trustees of the REIT to hold office until the close of the next annual meeting of Unitholders or until their successors are duly elected or appointed.

Re-Appointment of Auditors
